Having your cake and eating it too – managing conflicts and related party issues in the creation of SEEK Investments

Arnold Bloch Leibler (ABL) is running a corporate law lecture series with the Centre for Commercial Law and Regulatory Studies (CLARS), consisting of a three part series in Semester Two, and one in May. The lecture series will provide Monash Law students with insights as to how corporate law principles play out in the commercial world.

The lecture in May is presented by Jonathan Wenig, partner and Michelle Ainsworth, Lawyer


In a transaction announced and completed during 2021, SEEK Limited established an independent but still majority owned fund – SEEK Investments – and seeded that fund with $1.5bn of assets. The transaction provides a real life example of the management of directors duties re conflicts, related party issues and compliance with Chapter 2E of the Corporations Act.


Michelle Ainsworth is a lawyer in Arnold Bloch Leibler’s corporate and commercial practice. She works for commercial clients across a range of practice areas including public and private M&A, equity capital markets, corporate governance, privacy and data security.

Michelle is known for her pragmatic and outcomes-focused approach to transactions.

Michelle joined the Arnold Bloch Leibler in 2018, following a career as a news and politics journalist. She was admitted to practice in 2019 and has a Bachelor of Communications majoring in Journalism from RMIT University and a Juris Doctor from the University of Melbourne.

Jonathan Wenig’s practice and expertise spans the breadth of commercial and corporate law, including mergers and acquisitions, corporate work, technology and financing.

He is a trusted advisor to numerous active and innovative public companies - bringing his intellect and experience to bear not only in their corporate matters and acquisition activities, but across their legal affairs and strategic challenges and opportunities. Jonathan has also acted on and managed some of the most complex and important private transactions in the Australian marketplace.

Jonathan’s specialties are expressed in his strategic insight, his skills of analysis and communication, and the breadth of his business experience across a range of industry sectors, including internet, manufacturing, agriculture, retail, health and banking.
