CLARS Law & Business Seminar Series: Managing Management Buyouts

Description

Buyout activity remains robust even in the age of COVID-19, as illustrated by the sale of Virgin Australia.

This seminar will comparatively assess the regulation of buyouts by private equity firms in major jurisdictions, focusing on the duties of directors and senior managers. It will consider mechanisms for constraining misconduct by fiduciaries, including fiduciary duties, private enforcement, and mandated disclosure.

It will examine current developments in the United States, including recent Delaware decisions that suggest heightened judicial concern about potential misconduct in buyouts.

Speakers

Professor Andrew Tuch, Washington University, School of Law

Andrew Tuch is a professor of law at Washington University School of Law, writing and teaching in corporate law and financial regulation. His scholarship has appeared in leading journals in the United States, the United Kingdom, and Australia and has been cited judicially in Australia and the United States, including by the Delaware Court of Chancery. He holds LLM and SJD degrees from Harvard Law School where he was a Fulbright Scholar and an Olin Fellow in Law and Economics. He practiced corporate law in New York and London before entering academia. He is Australian.

Commentator: Susannah Macknay, Gilbert + Tobin

Susannah is a partner in Gilbert + Tobin’s M&A team in Melbourne, where she specialises in mergers and acquisitions and equity capital markets transactions. Before joining Gilbert + Tobin, Susannah was a partner at Slaughter and May in London where her practice focused on cross-border transactions.

Professor Jennifer Hill is the inaugural Bob Baxt AO Professor of Corporate and Commercial Law at Monash University Faculty of Law and is the Director of the Centre for Commercial Law and Regulatory Studies (CLARS). Jennifer is an internationally recognised legal scholar in the field of comparative corporate law and governance.
